デロイト トーマツ グループの社職員とそのご家族が保持しなければならない「個人の独立性」について分かりやすくまとめておりますので、「個人の独立性」の理解を深め、独立性に関する法令規則等の遵守にご協力をお願いします。

デロイト トーマツ グループに適用される個人の独立性ルール

 

「独立性」とは

独立性とは、監査クライアントとそのグループ会社など（以下「監査クライアント」という）に対し、独立した第三者としての客観的な立場を精神的にも外観的にも保持している状態をいいます。

 

 誰が「独立性」を保持しなければならないか

デロイト トーマツ グループのパートナーおよびプロフェッショナル・スタッフ、ならびに、それらの家族*1は、独立性の保持が求められます。

デロイト トーマツ グループにおけるプロフェッショナル・スタッフとは、監査業務か否かを問わず、プロフェッショナル業務をクライアントに提供する者を指します。

*1家族とは、具体的に次の方が対象になります：
(1) 配偶者またはそれに準ずる者（同性のパートナーや法的に結婚していないパートナーが含まれる場合があります）
(2) 扶養家族（同居の有無は問いません）

なお、ご家族や近親者*2が個人事業主として会社を経営している場合、当該会社においても独立性の保持が求められます。

*2近親者とは、家族の定義に該当しない両親、子供又は兄弟姉妹をいいます。適用される独立性の法令規則によっては、継父母及び継子が近親者の範囲に含まれます。

 

金銭的な取引関係

 

「個人の独立性」が求められる金銭的な取引関係とは

デロイト トーマツ グループでは、「個人の独立性」の法令規則などを遵守するため、金銭的な取引関係について独立性の方針を定めています。

デロイト トーマツ グループの金銭的な取引関係に関する主な独立性の方針は以下の通りです。

  • お金を預け入れたり、引き出したり、銀行を通して様々なお金のやり取りをするために開設する口座であり、当座預金口座や普通預金口座などがあります。また、投資信託や債券などの資産運用ができる、投資信託口座や総合口座などがあります。
  • デロイト トーマツ グループの監査クライアントの銀行口座については、口座の保有を禁止する、口座の解約を推奨する、預金残高を預金保護制度で保護される金額に制限するなどの場合があります。
  • デロイト トーマツ グループのパートナーまたはプロフェッショナル・スタッフは、DESCで検索することによって、銀行が監査クライアントに該当するか確認することができます。また、デロイト トーマツ グループの内部サイトにて口座に関する独立性の方針を確認できます。銀行口座にて投資信託や債券などの金融商品の取引ができる場合、GIMSに登録することが求められます。
  • 証券口座は、株式、投資信託、債券などの金融商品を売買するための証券会社の口座です。
  • デロイト トーマツ グループの監査クライアントの証券口座については、口座の保有を禁止する、口座の解約を推奨する、口座残高を投資者保護制度で保護される金額に制限するなどの場合があります。また、投資一任型の口座については、デロイト トーマツ グループの社職員及びそのご家族は、保有が禁止されています。
  • デロイト トーマツ グループのパートナーまたはプロフェッショナル・スタッフは、DESCで検索することによって、証券会社が監査クライアントに該当するか確認することができます。また、デロイト トーマツ グループの内部サイトにて口座に関する独立性の方針を確認できます。証券口座はGIMSに登録することが求められます。
  • 投資関係の例として、株式、投資信託、債券など、証券会社や銀行などを通じて取引する金融商品があります。少額投資非課税制度（NISA）、個人型確定拠出年金（iDeCo）、企業型確定拠出年金（企業型DC）または従業員持株会制度などを通じて取引される金融商品も含まれます。
  • デロイト トーマツ グループの監査クライアントに関する金融商品の取引については、投資が制限される場合があります。
  • デロイト トーマツ グループのパートナーまたはプロフェッショナル・スタッフは、DESCで検索することによって、証券会社株式、投資信託、債券などが監査クライアントに該当するか確認することができます。また、デロイト トーマツ グループの内部サイトにて株式、投資信託、債券などに関する独立性の方針を確認できます。株式、投資信託、債券などはGIMSに登録することが求められます。
  • 保険の例として、生命保険、火災保険、自動車保険等があります。保険には、契約の時点で保険金や解約返戻金、満期保険金（「保険金等」）の金額が確定している定額保険と、特別勘定における投資信託等の運用実績によって保険金等の金額が変動する変額保険があります。保険会社と変額保険で運用される金融商品に対しては、独立性の保持が求められます。
  • デロイト トーマツ グループの監査クライアントに関する保険契約については、新規の契約を禁止する、契約にあたり一定の条件が設けられる場合があります。
  • デロイト トーマツ グループのパートナーまたはプロフェッショナル・スタッフは、DESCで検索することによって、保険会社または変額保険で運用される金融商品が監査クライアントに該当するか確認することができます。また、デロイト トーマツ グループの内部サイトにて保険に関する独立性の方針を確認できます。変額保険はGIMSに登録することが求められます。
  • 様々なブランド（Visa、Mastercard、American Express、JCBなど）のクレジットカードがありますが、カードの発行会社や保証会社（返済滞留の際に、代位弁済する会社）に対して、支払いまでの間に一時的に債務が発生するため、独立性の保持が求められます。
  • デロイト トーマツ グループの監査クライアントが発行または保証するクレジットカードについては、保有が禁止される、解約が推奨される、または、使用にあたり一定の条件が設けられる場合があります。
  • デロイト トーマツ グループのパートナーまたはプロフェッショナル・スタッフは、DESCで検索することによって、クレジットカードの発行会社と保証会社が監査クライアントに該当するか確認することができます。また、デロイト トーマツ グループの内部サイトにてクレジットカードに関する独立性の方針を確認できます。
  • ローンには、住宅ローンや自動車ローン等のローン契約の他、当座貸越が含まれます。ローンおよびローンの保証契約にあたり、契約を締結する金融機関が「個人の独立性」の対象となります。
  • デロイト トーマツ グループの監査クライアントに関するローンまたはローンの保証については、契約が禁止される、契約のにあたり一定の条件が設けられる場合があります。
  • デロイト トーマツ グループのパートナーまたはプロフェッショナル・スタッフは、DESCで検索することによって、ローンまたはローンの保証に関する金融機関が監査クライアントに該当するか確認することができます。また、デロイト トーマツ グループの内部サイトにてローンおよびローンの保証に関する独立性の方針を確認できます。
  • スマートフォンにインストールしたアプリで決済を行うキャッシュレス決済（PayPay、楽天ペイ、d払い、au Payなど）であり、当該決済サービスの提供会社に対して入金時に債権が発生するため、独立性の保持が求められます。
  • デロイト トーマツ グループの監査クライアントに関するスマートフォン決済サービスの利用については、利用金額に制限がかかる場合があります。
  • デロイト トーマツ グループのパートナーまたはプロフェッショナル・スタッフは、DESCで検索することによって、スマートフォン決済サービスを提供する企業などが監査クライアントに該当するか確認することができます。また、デロイト トーマツ グループの内部サイトにてスマートフォン決済サービスに関する独立性の方針を確認できます。
  • 暗号資産（仮想通貨）とは、インターネット上でモノやサービスの対価として利用したり、「円」や「ドル」などの法定通貨と取引所を通じて交換したりできるものです。暗号資産の代表的なものとしてビットコイン（BTC・Bitcoin）やイーサリアム（ETH・Ethereum）などがあります。また、ブロックチェーン技術によって株式や債券などの有価証券をデジタル化したセキュリティ・トークンや、証券取引所に登録されているデジタルアセット・トークン等があります。暗号資産の預託に伴い仮想通貨交換業者との間に債権債務関係が生じること、また、セキュリティ・トークンは発行体に対する投資関係となり得ることから、仮想通貨交換業者やセキュリティ・トークン等の発行体が監査クライアント等である場合は取引及び保有について一定の制約があります。
  • デロイト トーマツ グループの監査クライアント等が仮想通貨の交換業者である場合またはセキュリティ・トークンやデジタルアセット・トークンの発行体である場合、特定の場合において、仮想通貨交換業者との取引が禁止される、監査クライアント等が発行体であるセキュリティ・トークン等の保有が禁止される可能性があります。
  • デロイト トーマツ グループのパートナーまたはプロフェッショナル・スタッフは、DESCで検索することによって、暗号資産の仮想通貨交換業者およびセキュリティ・トークン等の発行体が監査クライアント等に該当するか確認することができます。また、デロイト トーマツ グループの内部サイトにて暗号資産およびセキュリティ・トークンに関する独立性の方針を確認できます。

雇用またはその他の関係

 

ご家族および近親者の雇用など

パートナーまたはプロフェッショナル・スタッフのご家族や近親者が監査クライアントにおいて、取締役や執行役などの役員に就任している場合や会計担当や財務報告を監督する役割を担う場合があります。

そのような場合において、パートナーまたはプロフェッショナル・スタッフが家族または近親者が務める監査クライアントなどに業務を提供することは独立性の問題が生じることから当該パートナーまたはプロフェッショナル・スタッフを業務提供チームから外す場合があります。

 

独立性の法令規則を遵守するためのシステム

 

デロイト トーマツ グループでは、下記の内部システムを使用し、独立性ルールへの抵触を防止しています。

DESC（Deloitte Entity Search and Compliance System）とは

独立性が求められるデロイト トーマツ グループの監査クライアントを検索するためのツールです。デロイト トーマツ グループのパートナーおよびプロフェッショナル・スタッフは、DESCを利用して、特定の企業などが監査クライアントに該当するか、どのような独立性の方針が適用されるかなどを調べることができます。

GIMS（Global Independence Monitoring System）とは

デロイト トーマツ グループのパートナーとプロフェッショナル・スタッフならびにそれらの家族が保有する口座や金融商品などを登録するためのシステムです。デロイト トーマツ グループのパートナーとプロフェッショナル・スタッフは、GIMSを利用して、口座または金融商品が監査クライアントに関係するものであるか、調べることができます。登録された口座または金融商品の保有が禁止される場合、アラートが自動で配信されます。

ご家族の皆様へ

 

デロイト トーマツ グループが独立性の法令規則などを遵守するためには、パートナーとプロフェッショナル・スタッフのご家族の協力が不可欠です。

口座の開設や金融商品の取引などの際は、事前にパートナーまたはプロフェッショナル・スタッフにご連絡いただき、デロイト トーマツ グループの独立性の方針において認められていることをご確認ください。

また、口座の開設、および、株式、投資信託、債券等の金融商品の取得後、速やかにGIMSに登録することが求められます。パートナーまたはプロフェッショナル・スタッフに適宜情報共有いただき、GIMSの登録情報が常に正確かつ網羅的になるようご協力をお願いします。

その他の金銭的な関係や雇用またはその他の関係についても同様に、パートナーまたはプロフェッショナル・スタッフに適宜情報共有をお願いします。

ご提供いただいた情報は、デロイト トーマツ グループの個人情報保護に関する規程及び管理ルールに基づき厳重に管理されます。

Personal independence rules at Deloitte Tohmatsu Group

 

What is independence?

Independence means to remain in a independent position both of mind and in appearance and objectivity are exercised with respect to Audit Clients and their group companies (hereinafter referred to as the "Audit Clients"). 
 
Who has to maintain independence?

Independence laws and regulations require Deloitte Tohmatsu Group Partners and Professional Staff, and their Immediate Family Members *1.

In the Deloitte Tohmatsu Group, Professional Staff refers to those who provide any professional services to clients regardless whether which is audit service or not.

*1 Specifically, Immediate Family Members are:
ⅰ Spouse or spousal equivalent (partners of the same gender or partners not legally married may be included)
ⅱ Dependents (whether living together or not)
 
If Immediate Family Members or Close Family Members *2 manage entities as a sole proprietorship, independence rules are applied to such entities.

*2 Close Family Members refers to a parent, child or sibling who is not an Immediate Family Member. Depending on the applicable independence laws and regulations, step-parents and step-children may be included in this term.
 
What is personal independence?

Independence that Deloitte Tohmatsu Group Partners and Professional Staff, and their Immediate Family Members should maintain is called personal independence.

In order to maintain personal independence, there may be restrictions on having the following relationships with the Audit Clients:

  1. Financial relationships
  2. Employment or other relationships 

 

Financial relationships

 

What are financial relationships in personal independence?

Deloitte Tohmatsu Group establishes an independence policy about financial relationships to comply with laws and regulations regarding personal independence.

The main independence policy about financial relationships of Deloitte Tohmatsu Group is as follows:

  • Bank account is an account for depositing or withdrawing money, as well as for various types of money transactions through banks, including checking and savings accounts. Some accounts are also available for investing the mutual funds or bonds, etc.

  • In certain cases, bank accounts of Audit Clients of Deloitte Tohmatsu Group may be subject to restrictions, such as prohibiting from holding accounts, encouraging to close accounts, and limiting the account balance to amounts that are fully insured by the deposit insurance system.

  • Deloitte Tohmatsu Group Partners and Professional Staff can identify whether a bank is an Audit Client by searching DESC. Partners and Professional Staff can also confirm the independence policy about accounts on the internal website of Deloitte Tohmatsu Group. If financial instruments such as mutual funds and bonds can be traded in a bank account, the account is required to be registered in GIMS.
  • Securities account is an account held at an institution in which stocks, mutual funds, bonds, and other financial instruments can be traded.

  • In certain cases, securities accounts of Audit Clients of Deloitte Tohmatsu Group may be subject to restrictions, such as prohibiting from holding accounts, encouraging to close accounts, and limiting the account balance to amounts that are insured by investor protection system. All members of Deloitte Tohmatsu Group are prohibited from holding the discretionally investment accounts.

  • Deloitte Tohmatsu Group Partners and Professional Staff can identify whether a securities company is an Audit Client by searching DESC. Partners and Professional Staff can also confirm the independence policy about accounts on the internal website of Deloitte Tohmatsu Group. The securities account is required to be registered in GIMS.
  • Examples of investment relationships include stocks, mutual funds, bonds, etc. that are traded through securities companies or banks. Investment relationships include those traded through Japanese tax exemption programs for small investments (Nippon Individual Savings Account ("NISA")), individual-type defined contribution plans (iDeCo), corporate-type defined contribution plans (corporate DC) or employee stock purchase plan.

  • Investmenst relationships related to Audit Clients of Deloitte Tohmatsu Group may be restricted to hold in certain cases.

  • Deloitte Tohmatsu Group Partners and Professional Staff can identify whether stocks, mutual funds, bonds, etc. are related to Audit Client by searching DESC. Partners and Professional Staff can also confirm the independence policy about stocks, mutual funds, bonds, etc. on the internal website of Deloitte Tohmatsu Group. The stocks, mutual funds, bonds, etc. are required to be registered in GIMS.
  • Examples of insurance product include life insurance, fire insurance, and car insurance. There are two types of insurance product: fixed amount insurance, in which the amount of insurance money, cash surrender value, and maturity insurance money ("insurance money, etc.") is fixed at the time of the contract, and variable insurance, in which the amount of insurance money, etc. varies depending on performance of the underlying investment of mutual funds, etc. in special account. Insurance companies and financial instruments managed under variable insurance are subject to personal independence.

  • When entering into insurance contracts with Audit Client of Deloitte Tohmatsu Group, in certain cases new contracts may be prohibited, or required to meet certain conditions before entering into contracts.

  • Deloitte Tohmatsu Group Partners and Professional Staff can identify whether insurance companies or financial instruments managed under variable insurance are related to the Audit Client by searching DESC. Partners and Professional Staff can also confirm the independence policy about insurance product on the internal website of Deloitte Tohmatsu Group. Variable insurance is required to be registered in GIMS.
  • There are credit cards of various brands (Visa, Mastercard, American Express, JCB, etc.). However, they are required to maintain independence since temporary debts are incurred until payment is made to the credit card issuer and guarantor company (the company that will make subrogation payments in the event of a default on payment).
  • A credit card issued or guaranteed by Audit Client of Deloitte Tohmatsu Group may be prohibited to hold, recommended cancellation, or required to meet certain conditions in certain cases.
  • Deloitte Tohmatsu Group Partners and Professional Staff can identify whether the company which issue or guarantee the credit card is the Audit Client by searching DESC. Partners and Professional Staff can also confirm independence policy about credit card on the internal website of Deloitte Tohmatsu Group.
  • Loans include loan contracts such as mortgage loans and car loans, as well as overdraft facility. For loans and loan guarantee contracts, the financial institution that enters into the contract is subject to personal independence.

  • A loan or loan guarantee contract with Audit Client of Deloitte Tohmatsu Group may be prohibited, or required to meet certain conditions in certain cases.

  • Deloitte Tohmatsu Group Partners and Professional Staff can identify whether financial institution related to loans and guarantees is the Audit Client by searching DESC. Partners and Professional Staff can also confirm the independence policy about loans and guarantees on the internal website of the Deloitte Tohmatsu Group.
  • This is a cashless payment method (PayPay, Rakuten Pay, d payment, au Pay, etc.) in which payments are made via an app installed on a smartphone, and since receivables are generated from the payment service provider at the time of deposit, independence is required.

  • When using smartphone payment services provided by Audit Client of Deloitte Tohmatsu Group, the amount of deposit for payment may be limited in certain cases.

  • Deloitte Tohmatsu Group Partners and Professional Staff can identify whether the payment service provider is the Audit Client by searching DESC. Partners and Professional Staff can also confirm the independence policy about smartphone payment service on the internal website of the Deloitte Tohmatsu Group.
  • Crypto-assets (Cryptocurrencies) can be used as compensation for goods or services on internet, or exchanged with legal currencies such as yen or dollars through exchanges. Representative crypto-assets (cryptocurrencies) include Bitcoin (BTC) and Ethereum (ETH). There are also security tokens, which are the digital securities such as stocks and bonds created by blockchain technology, and digital asset tokens, which are registered with the stock exchange. Since the deposit of crypto-assets generates a creditor-debtor relationship with the virtual currency exchange service provider, and since security tokens may represent an investment relatonship in the issuer, there are certain restrictions on transactions and holdings if the virtual currency exchange service provider or issuer of security tokens, etc. is an Audit Client, etc.

  • If the crypto-assets (cryptocurrencies) exchange trader or issuer is Audit Client of Deloitte Tohmatsu Group, transactions with the exchange trader which is the Audit Client or holding of crypto assets (cryptocurrencies) issued by the Audit Client may be prohibited in certain cases.

  • Deloitte Tohmatsu Group Partners and Professional Staff can identify whether the crypto-assets (cryptocurrencies) exchange trader and issuer are Audit Clients by searching DESC. Partners and Professional Staff can also confirm the independence policy about crypto-assets (cryptocurrencies) on the internal website of the Deloitte Tohmatsu Group.

Employment or other relationship

 

Employment of Immediate Family Members and Close Family Members

An Immediate Family Member or Close Family Mymber of a Partner or Professional staff member may be a director or officer of an Audit Client, or may have an accounting or financial reporting oversight role.

In such cases, the Partner or Professional Staff may be removed from the engagement team since providing services to the Audit Client where an Immediate Family Member or Close Family Member works may raise independence issues.

 

Application Systems for complying with laws and regulations of independence

 

Deloitte Tohmatsu Group uses the following internal systems to prevent any violations of independence rules.

What is DESC (Deloitte Entity Search and Compliance System)?

This is a system for searching for Audit Clients of the Deloitte Tohmatsu Group which require independence. Partners and Professional Staff of Deloitte Tohmatsu Group can use DESC to identify whether a particular company is as an Audit Client and applicable independence policies.

What is GIMS (Global Independence Monitoring System)?

This is a system in which Partners and Professional Staff of Deloitte Tohmatsu Group report accounts and financial instruments held by them and their Immediate Family Members.Partners and Professional Staff can use GIMS to confirm whether an account or financial instruments is relevant to an Audit Client. If the registered accounts or financial instruments become prohibited, an alert is automatically delivered.

Dear family members,

 

The cooperation of family members of Partners and Professional Staff is essential for Deloitte Tohmatsu Group to comply with the independence laws and regulations.

Before opening an account or trading financial instruments, please contact a Partner or Professional Staff to confirm whether it is permissible under the Deloitte Tohmatsu Group's independence policy.

In addition, after opening an account and acquiring financial instruments such as stocks, mutual funds, bonds, etc., they are required to be registered in GIMS immediately. It would be appreciated if you could share information with Partners or Professional Staff as appropriate to ensure that information registered in GIMS is always accurate, current and comprehensive.

Also please share information about other financial relationships, employment relationships and other relationships with Partner or Professional Staff as appropriate.

The information you provide will be strictly managed in accordance with the Group's policy and management rules regarding the protection of personal information.
