Martin Bohuslav is a Managing Partner at Deloitte Legal. He provides clients with services in the areas of ICT security, software contracts, personal data protection of new technologies and intellectual property rights where he focuses on data management in digital environment. He also focuses on managing complex transactions, projects and restructurings, performance of legal due diligence reviews concerning ownership titles to real estate and lease relationships to real estate, residential and non-residential premises.​
Martin gained experience through participation in several important projects aimed, among other things, at setting contractual relations in the field of cloud services, e-commerce and specific personal data protection issues. He has long-term experience in leading cross-functional team of specialist in complex GDPR implementation projects. At the same time, in the field of personal data protection, Martin applies his expertise in the field of technology and focuses on technological and innovative solutions that save clients time and money; an example includes the GDPR Detective application which at the time of its implementation helped clients analyse their situation and implement necessary changes. He also provides clients with services including negotiation and preparation of contractual and other documentation related to the acquisition of business companies as well as legal consultancy in business restructuring. ​
His clients include domestic as well as foreign construction companies, real estate investors and developers, technology companies, retail chains, producers and distributors in numerous industries, as well as local administrations and other public entities. ​

Vladimír Ambruz graduated from the Faculty of Law, Charles University, Prague. He specializes in civil and commercial law, mainly in companies’ law. He focuses on complex business transactions and projects, and has gained valuable experience mainly in the field of restructurings, and M&A. He has led legal teams providing legal advisory in a number of business transactions, including acquisitions, joint ventures and restructurings of Czech companies and complex strategic restructurings in the Czech Republic.​

Hana Gawlasová is a Partner and Head of the Digital (formerly TMT) Law Practice group at Deloitte Legal in Prague. She has more than 20 years of experience in the field of information technology and telecommunications law. She has significant experience with regulatory and compliance advisory work in the TMT sector (telecommunications, media, technology), as well as transactional work. She advised a British telecommunications operator on the acquisition of a Czech and Romanian mobile operator, a consortium of investors on the financing of a Czech infrastructure operator and a Slovak investment group on the launch of a unique telecommunications operator providing fixed and mobile services within one technology and one network. Before working at Deloitte Legal, she led a regional TMT team at a British law firm, which focused on coordinated advice to foreign and Czech investors in the TMT sector in the CEE region. Before working at Deloitte Legal, she founded a practice called People & Technology, which primarily deals with legal advice in areas where a human element (humanware) is decisive, such as advice in the field of copyright, privacy, personal data protection, compliance programmes for employees and internal investigations involving employees, suppliers and customers. ​

Ludvík Juřička specialises in mergers and acquisitions, real estate and construction law, corporate law with a focus on corporate management and advising family businesses on the protection, preservation and management of assets using mainly family foundations and trusts. In the M&A area, he has participated in a number of transactions (both on the sell and the buy side) mainly in the sectors of iron and steel industry, construction, engineering, chemical industry, but also insurance, spa and private equity. In real estate and construction law, he provides comprehensive legal advisory, including, in particular, due diligence as part of real estate acquisitions, transaction and supplier contractual documentation, advice on the selection of suppliers and obtaining relevant public permits. ​
Ludvík has extensive experience in creating family holding structures using endowment and trust funds as a tool for preserving family assets for future generations, including setting the rules for the management of these funds. ​
Prior to joining Deloitte Legal, he worked for 12 years as a managing associate of a law firm cooperating with leading foreign audit firms and for 10 years as a partner at Havel & Partners where he was co-responsible for the management of branches in Brno and Ostrava. ​

Jaroslava Kračúnová is a Partner and head of the Business Integrity team at Deloitte Legal in Prague. She has more than 15 years of experience in corporate law with focus on corporate governance, management liability, white collar crime, corporate criminal liability, criminal law compliance and compliance management systems, anti-bribery, anti-fraud, and anti-corruption prevention, whistleblowing and data privacy. Jaroslava is also ISO 37001 certified lead implementer of anti-bribery management systems.​
As part of her Business Integrity practice, Jaroslava leads teams during forensic investigations in major Czech and European companies. She has advised clients on subsequent legal steps to be taken in disputes and criminal investigations. She further leveraged the experience gained in investigations and used the identified gaps in processes during investigation projects to build efficient compliance management systems for clients.  ​
In the majority of data privacy compliance matters, she focused on complex GDPR implementation projects and related privacy matters. She was also a member of the Working Group on the Preparation of the Adaptation Act to the GDPR and of the Working Group on the Implementation of the NIS 1 Directive into Czech legislation. ​

Jiřina Procházková is a Partner and leader of the Tax Litigation department at Deloitte Legal. She specialises in tax administration, tax disputes and public aid regulation. She has extensive experience in representing clients in tax audits and subsequent judicial proceedings, namely with regard to VAT fraud, tax deduction of research and development and law abuse.​
In her practice, Jiřina seeks to offer innovative procedural strategies that incorporate individual needs of a client and up-to-date case law of the Czech administrative courts and the CJEU. She has led many successful disputes before Czech administrative courts. Jiřina also stands behind the development of a technology app for the prevention from the involvement in tax frauds. ​
Jiřina is recommended in Legal 500 and among the Top 100 Women of the Czech-Slovak Legal Profession. In 2017 and 2022, she was rewarded to be the Tax Advisor of the Year in tax administration and last year she was listed by Law.com as one of the rising legal stars in Europe. She is also active as a pro bono lawyer and in terms of CSR, Jiřina led Deloitte activities to help refugees from Ukraine. ​

Petr Suchý is a Partner at Deloitte Legal in Prague. He is a Head of the Mergers & Acquisitions department at Deloitte Legal and participates in the leadership of the Restructuring & Insolvency team. He started his professional career in 1997 and has been with Deloitte since 2003. He specialises in corporate law, especially in mergers and acquisitions and corporate restructurings. He lectures on mergers and acquisitions at the faculties of law at Charles University in Prague and Masaryk University in Brno. ​

Daniel Vitouš is a Partner in the Corporate M&A department at Deloitte Legal in Prague and leads the Corporate Structuring team. Thanks to his long-term cooperation within Deloitte’s network, he has wide experience in combining legal, tax, and financing aspects in his project in order to find the best solutions for his client from a business perspective. Daniel joined Deloitte Legal in 2010 and during his career, he also worked for D.Law, a Luxembourg-based law firm associated with Deloitte, where he focused on international M&A/structuring projects for clients originating especially from the USA and the UK. ​

Roman is an Attorney-at-Law and Senior Managing Associate in the Banking and Finance team. He specialises in providing legal services to financial institutions, in particular banks, payment institutions and insurance companies, focusing on regulatory issues, investment services (MiFID II), payment services (PSD2), client onboarding solutions, corporate governance, compliance, licensing procedures and AML.​
Recently, Roman has been involved in projects aimed at providing comprehensive legal advisory on a new bank product related to investment instruments and the provision of investment services, drafting robust corporate governance models (including IT and security requirements, business plan and outsourcing principles) for licensing proceedings with the financial market regulator, including representation before the regulator, and preparing a detailed AML/CFT gap analysis for the bank and assisting with the implementation of relevant obligations to achieve compliance with AML/CTF regulation.​

Petr Graca is a Senior Managing Associate in the Business Integrity department at Deloitte Legal in Prague. Petr is also responsible for the area of sports law and for coordinating the local Sports Business Group. ​
Besides corporate compliance and company law, Petr is focused on public regulation at Deloitte Legal, namely on extended producer responsibility. Apart from this, he participates in corporate legal screening and forensic investigation projects. He provides legal services in both English and German. At Deloitte, he is a legal internal specialist for audit engagements and also a member of the German Desk and Deloitte Private. ​
Petr’s experiences include more than 15 years of providing legal services to local and international clients with a focus on company law, setting up suitable internal arrangement and management of legal entities, including the drafting of organizational rules, review and formation of internal corporate documents with proposals for their effective improvement. ​

Ondřej Chmela is a Senior Manager and Attorney-at-Law in the Commercial department at Deloitte Legal in Brno. He has 17 years of experience in the provision of legal services, particularly in the area of contract agenda. Ondřej has significant experience in negotiating and revising contracts across a wide range of complex projects, including PPP. Ondřej also specialises in public procurement and competitive aspects of client projects. As part of his practice, he also provided our clients with sets of contract templates, especially for contractual relations with suppliers, and internal directives governing, among other things, procurement procedures and contracting. Between 2006 and 2011, he worked as an in-house lawyer, later Head of the Commercial Law team and Deputy Director of the Legal department with a team of about 40 lawyers, so he understands the needs of in-house legal teams very well. ​

Jana Černá is an Attorney-at-Law in the Employment department and Banking & Finance department at Deloitte Legal in Prague. Within the Employment area, Jana ensures the day-to-day support of clients and specialises in benefit structures, ESOP programmes and digitalisation in HR. Within Banking & Finance, Jana specialises in insurance and leasing. She has recently been involved in several regulatory projects in this area. Kateřina is an Attorney-at-Law at the Tax Litigation department at Deloitte Legal. She graduated from the Faculty of Law of Charles University in Prague and spent two semesters at the School of Law of the University of Nottingham in England. ​
Kateřina joined Deloitte in January 2019 and specializes in tax proceedings, tax litigation and the state’s liability in damages for wrongful administrative acts. She has experience with client representation in disputes over VAT frauds, abuse of rights, research and development projects, VAT deductions and entitlements arisen from tax administration bodies’ unlawful actions. ​
In her previous work experience at the General Financial Directorate of the Czech Republic, United Nation High Commissioner for Refugees and the Ministry of Labour and Social Affairs of the Czech Republic she focused on litigations, tax proceedings, administrative proceedings, the state’s liability in damages for wrongful administrative acts, legal disputes, refugee law, social rights, labour law and international relations. ​

Matěj Konečný is an Attorney-at-Law in the Commercial Law department of Deloitte Legal in Brno. Lenka Losenická is a Managing Associate in the Corporate / Mergers & Acquisitions department at Deloitte Legal in Prague. In her practice, she mainly focuses on corporate law, commercial law, and corporate compliance. In these areas, she provides clients with comprehensive legal assistance ranging from the establishment of companies and branches of foreign companies, advice on entering the Czech market, services related to the daily business administration and corporate changes, to the liquidation of companies. Lenka also has extensive experience in drafting, reviewing, and negotiating commercial contractual documentation and in the field of management liability and remuneration. ​With this focus, it was only natural that Lenka started to specialise also in employee share option plans (ESOP). She helped reviewing various global and local ESOP plans, and held workshops related to the ESOP implementation and structuring. Within Deloitte, she helped put together tax and legal professionals across CEE, with focus on this topic, who can share ESOP experiences from their local jurisdictions.​

Zuzana Potočková is a Manager in the Tax Litigation department at Deloitte Legal in Prague. She has many years of experience in the field of tax and tax litigation, especially in the Big Four accounting firms. Over the years, she transferred from tax advisory to tax litigation and currently focuses on representing clients in tax audits, subsequent administrative and court proceedings, and advising on minimising tax penalties. Current disputes deal mainly with abuse of law, VAT deduction claims in case of accusations of involvement in a fraudulent chain, and transfer pricing. In her practice, Zuzana draws on her experience as a tax advisor and lawyer.​

Colette Sladká is an Attorney-at-Law in the Environment department at Deloitte Legal in Prague with more than 4 years of experience in environmental regulation. She primarily focuses on carbon tax (CBAM regulation), waste legislation, Extended Producer Responsibility, and greenhouse gas emission allowance legislation.   ​
Colette specialises in the emerging regulatory issues around the Carbon Border Adjustment Mechanism and provides a comprehensive bespoke service in relation to preparing companies for the new obligations arising from this legislation. As part of her work at Deloitte Legal, she also focuses on the legal activities of Producer Responsibility Organisations in the Czech Republic and Slovakia, as well as the specifics of the European Emissions Trading System.  ​

David Neumahr is an Attorney-at-Law and a Manager in the Commercial team at Deloitte Legal in the Moravian-Silesian Region (Ostrava). Her practice focuses on intellectual property law, personal data protection, information technology law and related contentious and non-contentious matters. Prior to joining Ambruz & Dark Deloitte Legal, Edita worked at a leading international law firm with a focus on intellectual property law for more than 3 years.​
Edita gained her experience mainly by working on projects focused on international and domestic IP transfers and licensing, data protection compliance, mergers, acquisitions and restructurings – including due diligence in the aforementioned legal sectors – as well as on corporate and media law projects. Her expertise includes both contentious and non-contentious aspects of intellectual property rights, including copyright, trademarks, domain names, as well as IP enforcement and experience in IP litigation and arbitration. Edita is a member of the IP Law Section of the Czech Bar Association.​

Further, she has experience with corporate law especially on the establishment of corporations. Barbora has also gained expertise in corporate M&A, in particular in the establishment and reorganization of corporations and legal advisory in relation to purchase and sale of distressed assets.​

Michaela Kaňková is an Attorney-at-Law in the Business Integrity department at Deloitte Legal in Prague, which she joined in 2020. Michaela has experience with providing legal advisory to local and international clients with a focus on corporate law, including setting up suitable internal management of legal entities, review and formation of internal corporate documents (compliance programmes), as well as related criminal liability of legal entities. She also advises clients from various industries on labour-law aspects of anti-competitive practices and establishment of non-competition clauses with employees. ​
During 2022, Michaela participated in ISO 37301 Compliance Management Systems certification as Lead Implementer and in September 2022, she successfully passed ISO 37301 Lead Implementer exam. ​

Andrea joined attorneys-at-law of our law firm in 2023 when she became a member of the Business Integrity team. In her previous practice, she focused mainly on criminal law, obligations, and administrative law, including administrative offences. She has wealth of experience in defending persons accused of wide range of criminal activities in all stages of criminal proceedings. Within her criminal law expertise, Andrea focused not only on the preparation of complex defence strategies, including procedural submissions, but also assisted clients in acts of criminal proceedings, such as depositions, examinations, and recognitions. She also represented clients at trials and participated in custody hearings. Andrea further expended her experience in the above-stated area during her tenure as an assistant judge of criminal law section of a first instance court, when she worked closely with judges of the section, participated in procedural acts and prepared court rulings, and was in charge of her own decision-making activities in the area not exclusively reserved for judges. Andrea also deals in depth with whistleblowing issues, has assisted clients, for example, in the implementation of an internal whistleblowing system, has advised on the implementation of legal requirements into an existing whistleblowing solution and has experience in preparing internal directives and other documentation in this area.​

Jan Šlajs is Attorney at Law in the Tax Litigation function at Deloitte Legal in Prague. He graduated from the Faculty of Law at Masaryk University with focus on European law and financial law. During his studies, he spent a semester at the Jagiellonian University in Krakow.​
Jan has gained experience in tax litigation through his work in the administrative justice system, at the Supreme Administrative Court and the Regional Court in Ústí nad Labem – Liberec branch. Apart from tax litigation, he has extensive experience in conducting administrative proceedings and proceedings before administrative courts. Jan benefits from his experience in drafting court rulings, including questions referred for a preliminary ruling.​

Within this area, she has provided legal advisory in the field of extended producer responsibility, product labeling, waste management, water law and environmental law. Further, she has experience in administrative proceedings, especially in the areas of environmental law and water law, as well as in civil proceedings concerning, in particular, disputes over the ownership of real estate. She also has experience in providing legal advice in the corporate field. In addition, she provides companies with legal services in resolving personnel aspects and handling disputes with employees.​
Jana also focuses on financial regulation, particularly in the areas of banking, payment services, and anti-money laundering measures. She provides regulatory legal services to both domestic and international financial institutions and has participated in regulatory audits of major banks. Additionally, she has experience supporting small and medium-sized enterprises, start-ups, and crypto entrepreneurs.​
