Fran Yearsley

Fran leads our IPO readiness programme for private companies who are seeking to raise equity in the US.

Fran is a Partner in our London-based Global Capital Markets Group and has more than 16 years of experience in public accounting, including spending three years working in the US and ten years in the Global Capital Markets Group in London. Fran has worked extensively throughout America, the UK and Europe, providing advice and assistance to multinational companies as to the appropriate application of IFRS, US GAAP and SEC rules and regulations.

Fran has a wealth of GAAP conversion experience. Whilst in the US Fran was the Global Technical Lead on Deloitte’s largest Global US GAAP-IFRS conversion project to date, and has also worked on a number of IPO and transaction-related conversion projects requiring the conversion of an entity’s results to/from IFRS and US GAAP.

Fran has served clients seeking to list on the UK and US exchanges, advising and supporting clients through their various readiness activities. She specialises in US capital markets work, including US IPOs, registered offerings and 144As. She has also served some high-profile SEC registrants, focusing on their implementation and ongoing assessment of SOX requirements.

Fran’s experience includes the application of SEC rules and regulations to such areas as pro forma financial information and carve-out financial statements
