Terms of Use & Disclaimer

The Widget and any output thereof (the “Materials”) are only intended for use by the person who completed the Widget questionnaire and the organization on behalf of whom such person acted (“you” or “your”). You may share the Materials with relevant personnel within your organization, provided that, such personnel understand and agree to these Terms of Use and Disclaimer. The purpose of the Materials is to provide users an interactive experience to apply the Sustainability Fusion framework where they can input their own projects and receive a value analysis that shows how specific value levers from the framework appear in their project. The Materials are dependent on the responses provided by you. Deloitte Consulting LLP (“Deloitte Consulting”) expresses no opinion as to the adequacy, accuracy, timeliness, and/or completeness of the Materials.

Unless otherwise indicated herein, and on the condition that you comply with all of your obligations under these Terms of Use, (i) you are authorized only to view and print the content of the Materials for informational, non-commercial purposes only. The Materials should not be disclosed or distributed to any third party without prior written consent from Deloitte Consulting and is subject to the restrictions on use specified herein. The Materials must not be recited or referred to in any document or copied or made available (in whole or in part) to any third party. The Materials shall not be included, referred or incorporated into any capital markets transaction documents (including any public or private debt or equity offering, registration statement, prospectus, information memorandum or other offering document), acquisition or valuation documentation (including due diligence reports, asset valuations or appraisal reports, market studies or any other forecasting, strategy or competitiveness study or documentation), deal negotiation documentation, or any filing with any securities authorities.

The Materials provide a point in time assessment and Deloitte Consulting has not updated, and shall have no responsibility to update, the Materials for events, transactions, circumstances, or changes in any of the facts or assumptions occurring after the date of the assessment.

THE ABOVE DISCLAIMERS AND LIMITATIONS OF LIABILITY SHALL BE APPLICABLE NOT ONLY TO DELOITTE CONSULTING BUT ALSO TO EACH OTHER ENTITY WITHIN THE DELOITTE NETWORK AND TO OUR, AND THEIR, RESPECTIVE PERSONNEL. THE ABOVE DISCLAIMERS AND LIMITATIONS OF LIABILITY ARE APPLICABLE TO THE FULLEST EXTENT PERMITTED BY LAW, WHETHER IN CONTRACT, STATUTE, TORT (INCLUDING, WITHOUT LIMITATION, NEGLIGENCE), OR OTHERWISE.

If any portion of these Terms of Use is invalid or unenforceable in any jurisdiction, then (i) in that jurisdiction it shall be re-construed to the maximum effect permitted by law in order to effect its intent as nearly as possible, and the remainder of these Terms of Use shall remain in full force and effect, and (ii) in every other jurisdiction, all of these Terms of Use shall remain in full force and effect. Deloitte Consulting may revise these Terms of Use at any time in our sole discretion by providing such updated terms to you via email or the like. Such revisions shall be effective as to you upon receipt.

"Deloitte Network" (as defined above) means one or more of Deloitte Touche Tohmatsu Limited, a UK private company limited by guarantee ("DTTL"), its network of member firms, and their related entities.
