Deloitte advises on BMC Manufacturing sale to Kingspan Group PLC in €900m transaction

Deloitte acted as the lead M&A advisor to the shareholders of BMC Manufacturing on the sale of the business to Kingspan Group PLC in a transaction valued at €900 million. The deal represents the largest ever acquisition of a private Irish company by an Irish buyer and ranks among the largest single transactions in the Irish market this year.

BMC Manufacturing designs, engineers, and manufactures low voltage switchgear and critical power management solutions for the data centre industry. Kingspan Group PLC is a global leader in high-performance insulation and building envelope solutions.

"This is a landmark transaction as the largest ever acquisition of a private Irish company by an Irish buyer,"

said James Toomey, M&A Advisory Lead at Deloitte.

"It reflects the strength of Ireland Inc. that two Irish companies can transact at this scale. Congratulations to the BMC Manufacturing team, they have found a great partner in Kingspan who will help accelerate their growth plans and scale into the US."

Deloitte acted as Lead M&A Advisor to the shareholders of BMC Manufacturing on the sale. In addition to leading the M&A Advisory, Deloitte's multidisciplinary team provided comprehensive sell-side services across three additional areas:

  • Lead M&A Advisory: James Toomey, Richard Dennehy, Gavin George
  • Financial Vendor Due Diligence: George Byron, Claire Grimes
  • Tax Vendor Due Diligence: Karen Clarke, Alan Sheehan
  • Tax Structuring and Advisory: Niall Glynn, Karen Walsh

"The Deloitte M&A team's deal experience and strategic guidance were invaluable throughout the transaction, and I would recommend them to anyone considering an M&A process,"

said Brendan Meehan, Founder and Chairman of BMC Manufacturing.

"They understood the complex technical issues, but also what the transaction meant to us. They knew how to navigate the challenges and were alongside us every step of the way right through to signing."

The acquisition is conditional on regulatory clearance, and is expected to complete in Q4 2026.
