Transaction Management Office (TMO)

The Transaction Management Office (TMO) team is an experienced group of professionals with deep transaction knowledge combined with programme management expertise. 

The TMO sits at the heart of a deal, working alongside the client to manage and co-ordinate ‘all moving parts’ to deliver the transaction successfully. This includes all deal workstreams, company stakeholders and advisors, milestones, and deliverables required for a transaction.

TMO can be mobilised early to help companies prepare and respond to the market at the right time, to provide optionality and ultimately maximise value. We understand the unpredictability of deals – our services can be rapidly deployed and are flexible and scalable to suit companies’ bespoke needs during each phase of a transaction. 

Our market-leading TMO team comprises of professionals who specialise in transaction management and have diverse experience across a broad range of transactions including Equity Capital Marketsprivate and public M&Aseparations and divestments, and integrations. 

  • managing the scale and/or complexity of the transaction
  • lack of experience in undertaking and running these types of transactions and/or running multiple transaction options in parallel 
  • lack of clarity around roles and responsibilities and, as a result, accountability, ownership, and transaction preparation and execution process control
  • resourcing and capacity constraints in key areas of the business, such as the M&A, corporate development and Finance teams delivering the transaction alongside business-as-usual activities and other competing priorities
  • underestimation of a high-pressure timetable and a multitude of deadlines
  • a large number of key stakeholders within the company and external advisors who need to be effectively co-ordinated as ‘one team’
  • lack of clarity around the requirements and/or lack of adequate preparation across key workstreams, required to execute the transaction and respond to the market at the right time.

The TMO can provide a wide range of transaction support ranging from focused insight and advice throughout your transaction journey, to part-time or full-time practical and hands-on experience. 

We can support companies with the following types of critical activities on a transaction:

  • design and establish the overall transaction programme and workstream structure 
  • design and establish programme governance structure and decision making
  • clarify the assignment of roles and responsibilities for all parties
  • develop the overall transaction roadmap, timetable and critical path
  • identify and manage risks and dependencies, and unblock issues that arise
  • ongoing management of the company stakeholders and advisors
  • work alongside the company, investment banks and other advisors to drive and co-ordinate the preparation and review of key transaction documents, including Prospectus, Circular, Management Presentation, Teaser, Information Memorandum and more
  • support the company to help manage the company-side virtual data room (VDR) activities, including co-ordination of the response to information requests, Q&A and management and/or expert sessions across all workstreams
  • establish appropriate meeting cadence and governance, facilitate meetings effectively, preparing supporting materials, follow-up on next steps, actions and communicating outcomes
  • ability to draw upon Deloitte’s full breadth of global capabilities and subject matter experts to deliver tailored support, to help manage any unique challenges that may arise during the transaction.
