The board secretary of Chinese listed companies (referred to as "secretary") is a corporate governance role defined by laws, regulations and regulatory rules. It plays a "key minority" important role in supporting the board of directors to play the functions of decision-making, supervision and consultation, and promoting the effective operation of corporate governance and achieving the expected goals. This research report systematically and deeply discusses the board secretary system in China, combs the origin and development of the secretary system, and makes a preliminary portrait of the current secretary group; clearly defines the responsibilities, powers and liabilities of the secretary; analyses the legal senior management status and concurrent behaviors of the secretary, and discusses the reporting line, nomination and appointment, and career design of the secretary; constructs the professional competence framework and professional and specialized development path of the secretary; and looks forward to the prospect of the secretary transforming into the Chief Governance Officer.
