Speaking of Securitization: Volume 1 - 2010

The SEC’s Reg AB Proposals: Back to the Drawing Board

DOWNLOAD

On April 7, 2010, the SEC released its proposed revisions to Regulation AB; these suggested amendments deal with the offering process, disclosure and ongoing reporting of asset backed securitizations. In this document, the SEC has outlined how it intends to improve the disclosure underlying the initial offerings, subsequent take downs, and ongoing reporting for all asset backed securitizations, even private placements.

The latest issue of Speaking of Securitization considers some of the potential impacts and consequences of the proposed new requirements. It discusses the proposal’s possible ramifications on the following topics:

  • Timing implications for bringing a deal to market
  • Effects of the 5% risk retention requirement on consolidation
  • Implications of expanded waterfall disclosure using Python on transactions
  • Possible ramifications on private placements compared to public offerings
  • Timing for adoption of the SEC proposals
