In difficult and volatile markets, senior management inevitably will look to review their strategic options, one of the outcomes may be to consider divestment. Once that preliminary decision has been made, optimizing the outcome can be challenging and time consuming.

  • The business being sold is majorly reliant on parent. Not in a position to survive standalone as currently structured and operated;
  • The timetable is tight;
  • Vendor wants control of the timetable;
  • The business is global/multi-location;
  • Centralized management;
  • Experienced in-house resource is short;
  • Limited or negative experience of transactions;
  • Disruption to the on-going business would be damaging;
  • Management is unable to provide an estimate of the standalone costs of the business;
  • Other significant projects are also underway which require resource and focus;
  • Lacking first rate project skills - no track record to delivering complex projects;
  • Confidentiality is important;
  • Historical and forecast financial information is not prepared on a standalone basis.
