Financial structuring of a transaction involves definition of the following key parameters:
- A list of the assets to be acquired;
- Structure of consideration, including the assumption of debts;
- An analysis of the financing options;
- Consideration of “cash in” clauses;
- Earn-out options;
- Net debt and working capital targets;
- The size, structure and schedule of payments;
- Any special conditions between the parties.
