Mergers, acquisitions and disposals

Our corporate finance department – drawing upon the international and local experience of our investment specialists – provides clients with responsive and sophisticated M&A advisory services as they pursue transactions. Our engagement teams work closely with clients to assist them in identifying opportunities and risks.

Acquisitions

We aim to reduce the risks inherent in any acquisition by providing expert advice on those elements essential to a successful acquisition: planning, targeting and execution.

Our transaction initiation approach improves the acquirer’s chances by combining the traditional “hit and miss” methods with more systematic programmes designed to identify the most promising opportunities. Once a suitable target has been identified we will:

  • formulate an approach/strategy with our client;
  • agree on a preliminary view on valuation and financial structuring;
  • approach the target using our top-level contacts where possible;
  • lead negotiations throughout the process, advising on tactics in any auction process;
  • set the framework for due diligence and provide teams where required;
  • liaise with regulators and prepare public documents where relevant; and
  • help to ensure a timely and managed completion.

Disposals

The decision to sell a business is one which many managers and owners make once - with only one chance to get it right. We can guide shareholders and management through each and every stage of the transaction to help ensure that the best terms and conditions are achieved for the seller.

We provide independent advice and support to help vendors avoid the many pitfalls and to increase the chances of a successful transaction. Specifically we offer complete transaction management including:

  • eview of the options;
  • aluation of the business;
  • reparation of the Information Memorandum;
  • dentification of potential acquirers using industry specialists;
  • ax planning – to take maximum advantage of tax planning opportunities;
  • egotiation – on the vendor’s behalf – with the potential acquirers and their advisers;

Merger integration

Integration of large businesses is one of the biggest challenges an organisation will take on. Our team has direct experience with managing large, complex programmes across many industry sectors.

Using specialist resources in small teams, we typically focus on the pre-completion period assisting organisations in developing the strategy and financial rationale for the acquisition and planning for Day 1. Once the deal is completed, we support our clients with a rapid mobilisation of the transition integration programme. We adopt a flexible and pragmatic approach based on our extensive experience of supporting our clients with:

  • eveloping of acquisition blueprints (outlining desired organisation models/structures/integration benefits and timetables);
  • developing of full post-acquisition benefits cases (including the scoping of revenue and cost synergies and implementation plans to deliver these);
  • prioritisation, tracking and delivery of benefits;
  • programme management, issue resolution, and progress reporting (including running the programme office, if required); and
  • mobilising of integration teams and providing full support to the integration leadership.
