Mergers, acquisitions, transactions and reconstructions

We have extensive experience of corporate restructuring including mergers, de-mergers, conversions, amalgamation, acquisition and reconstruction. Services include:

  • Developing schemes for mergers, de-mergers and acquisitions, pre and post accounting and support to the legal advisors
  • Providing advice on the viability of proposed mergers considering legal, financial, tax and administrative viability
  • Identifying potential target companies for takeover, identifying potential investor and forming consortiums for takeovers

Public issue/sale of shares

MYASCO was amongst the first firms of chartered accountants in Pakistan to venture into the field of public issue of shares. Services include:

  • Completion of all formalities involved in the issue and public floatation of shares including preparation of prospectus for fresh issue and offer for sale
  • Representation to the securities and exchange commission of Pakistan (SECP) and the central board of revenue (CBR)
  • Coordination with bankers for the issue and obtaining necessary approvals from the stock exchange
  • Arranging underwriting and private placements

Privatization

MYASCO is very active in providing privatization related services and have been involved in the selling-off of some of the largest government owned entities in Pakistan. Privatization services include:

  • Identification of prospective bidders and soft marketing
  • Due diligence reviews considering financial, tax, legal, human resources and IT aspects
  • Conversion of government entities into companies including obtaining regulatory approvals
