Valuations
Valuations are a critical component of nearly all financial transactions and they require a high degree of practical, technical and business expertise. The Corporate Finance team has, as part of its global network, access to the latest financial information, data, pricing and analysis on companies and industries around the world.
In addition to our broad range of industry and commercial experience, our Valuations team has a strong set of technical skills ranging across accountancy, taxation, law and finance. With significant valuation and transaction experience in New Zealand and internationally, we can provide you with informative, independent valuation advice to assist you implement your company’s strategy.
The reason for a valuation can be varied but normally arises as part of the contemplation of change. Such change can arise from:
- Acquisitions
- Disposals
- Joint ventures
- Corporate restructuring
- Disputes
- Loss or damage to business operations
A valuation may also be required in the form of an Appraisal Report or Independent Adviser’s Report. This may be required in circumstances where a listed company undertakes a transaction which involves:
- A takeover offer for a code company
- The issue of new shares to, or the acquisition of existing shares by, a shareholder in a code company that increases its shareholding beyond 20%
- The transfer of shares to an insider
- The issue or buyback of shares where the exercise of control may change or which involves directors
- Material transactions with related parties
- Where a compulsory acquisition notice has been issued
The corporate finance team has extensive experience in preparing Appraisal Reports and Independent Adviser’s Report under the requirements of the New Zealand Exchange Listing Rules and Takeovers Code.
