Motor industry company
Creation of various classes of shares, redesignation and redemption of shares in group companies, reduction of share capital in unlimited companies, payment of dividends out of exempt profits, making capital contributions, re-registration of limited companies as unlimited companies and amendment of Memorandum of Association accordingly, and putting business relief restructuring in place for group.

Property company
Acquisition of shares from family members, putting group structure in place, including acquisition of shares and issue of shares in exchange and stamp duty issues, including dealing with bank facilities, and preparation of Section 60 documentation.

Media company
Isolation of one operation from other assets of a particular company and establishment of new group with those assets transferred and another company acquired by new group.

Packaging company
Reorganisation of business into two separate groups, including transfer of property at market value between group companies, stamp duty reliefs obtained, transfer of shares of Northern Ireland company to Irish operating company, again stamp duty relief obtained.

Existing Irish company transferred its shares in Northern Ireland company to a newly incorporated company in return for which Newco issued shares to the existing shareholders of the existing Irish company; reliefs were obtained on these transactions.

Telecommunications company
Management buyout, including supporting documentation for refinancing of existing bank facilities and working capital requirements, conversion, redesignation and redemption to share capital, Section 60.

Facilities company
Transfers between associated companies; reliefs obtained under Section 79, Stamp Duties Consolidation Act 1999.

Utilities company
Reduction of share capital, under Section 72, Companies Act 1963.

Moulds and packaging company
Restructuring of authorised and issued share capital to facilitate Enterprise Ireland Investment, including review of share subscription and shareholders agreement, creation and issue of new class of shares.

Property company
Implementation and establishment of Isle of Man group filing structure.

Kerry Group plc
Review and extensive assistance to group legal department on transfer of undertaking, business and assets from certain group companies.

Eirgrid plc
Provision of Company Secretary and Registered Office details on over 250 companies located worldwide, organising issuing registered letters and postage to contact parties and producing details and copies of all these items.

Family companies

  • Putting shareholders agreements in place in the event of minority/majority shareholder selling their respective shares and drafting offer round provisions for inclusion in the articles of association
    Migration of foreign registered companies to Ireland and also Irish registered company to different jurisdictions, making necessary changes to memorandum and articles of association to permit meetings of both the board of directors and shareholders to take place at a certain venue
  • Establishment of Industrial and Provident Society and outing structure in place in relation to surcharge liability
  • Creating group structure by putting holding company in place and acquiring individual companies with the issue of shares in exchange to the shareholders of those companies and the transfer of the shares of the existing companies to the holding company and relief obtained under Section 80 of the Stamp Duties Consolidation Act 1999
  • Putting special classes of shares in place to enable loans to be made between certain companies with common shareholders, share transfers between associated companies, reliefs obtained under Section 79 Stamp Duties Consolidation Act 1999
  • Creation of special class of shares to achieve balance of ownership among family members and creation of new class of shares with value only accruing from date of issue
