We advise Management teams who are considering primary and secondary buy-outs and buy-ins, public to private transactions and private equity refinancings.  We offer an integrated solution which protects the interests of the Management team whilst maximising their value and delivers a more efficient deal process for both vendor and purchaser.

We bring our deep industry knowledge and network of finance partners as a core part of our advice. Our solution leverages Deloitte’s extensive private equity M&A expertise to provide independent corporate finance advice to Management teams throughout the transaction process.

Support Management on preparation of key deliverables

  • Support in the preparation of financial projections and the financial model (operating, funding and returns)
  • Support in the evaluation of the business forecasts and presentation of the business plan
  • Assistance in the raising of capital and selecting a financial partner
  • Advising management in forming a price expectation
  • Providing a point of contact for potential investors/lenders for management’s views
  • Supporting the vendor’s advisers throughout process e.g. trouble shooting issues

  • Lead commercial negotiations of Management’s terms with preferred bidders
  • Providing an independent view on the process, bidders and Management terms

  • Advising Management on implications of the newco structure

  • Advising on the implications of debt structuring and review of financial covenants

  • Advice on investment terms, e.g. roll-over, equity rights, ratchet terms
  • Advice on shareholders’ agreement and articles of association e.g. leaver provisions and drag along
  • Advice on service contracts
  • Advice on aspects of SPA, e.g. warranty terms, disclosure process and vendor protection
  • Advice on tax consequences and pre-clearance procedures


  • Republic
    Adviser to the Managment of Republic, one of the UK’s leading branded fashion retailers on the £300m buy-out backed by TPG Capital in 2010. The role combined working alongside the lead adviser to the deal in order to understand and input into the wider process and thereby allowing us to be best placed to negotiate the best deal for the Management team.
  • Wood Mackenzie
    Adviser to the Management of Wood Mackenzie, the market leading oil & gas consultancy backed by Candover on the sale of the business to Charterhouse Capital Partners in one of Europe’s largets buy-outs in 2009. Deloitte worked alongside Goldman Sachs the lead adviers and successfully negotiated an improvement in the terms Managment’s rollover investment in Newco.
