Takeover Code transactions

Where businesses are considering taking their company private, receive an offer or approach for their company or wish to bid for a public company, then we have the technical expertise and transaction experience to act as lead adviser on either the buy-side (Offeror Adviser) or sell-side (Rule 3 Adviser) of the transaction.

In the last ten years we have advised UK and international corporates, private equity firms and management teams on more than 65 public-to-private (“P2P”) and public offer transactions, including contractual offers and schemes of arrangement.

These transactions reflect the depth of our experience and knowledge in this complex arena and include hostile bid defence, mandatory offers and recommended bids in competitive, friendly and auction scenarios across all industries.

M&A for listed companies

We regularly advise listed companies wishing to undertake smaller-scale acquisitions or disposals, including Class Transactions (for Official List companies), Related Party Transactions (for both AIM and the Main Market) and any other ad hoc Shareholder Circulars.

We also have significant experience in advising listed companies in special situations, including those considering a debt restructuring or debt for equity swap.
