Our focus of work can be tailored to best suit your key priority areas and can, for example, include reporting on:

  • the nature of the business’ pension plans and management’s strategy for dealing with pensions in relation to the reorganisation/restructuring including the potential impact of the transaction on the employer covenant;
  • the financial and actuarial implications of the pension and employee benefit plans on the business;
  • the approaches commonly used to allow for pensions for business valuation purposes;
  • the pensions items in the business’ financial projections (including any normalisation adjustments);
  • the powers and role of the pension trustees and the UK Pensions Regulator in relation to the proposed reorganisation/restructuring, whether regulatory clearance would be desirable and the possible reaction of the trustees to the reorganisation/restructuring;
  • the potential separation issues relating to the reorganisation/restructuring such as the risk that Section 75 payments may be triggered and the business’ strategy for mitigating these risks;
  • the potential options available to reduce the financial risks arising from the pension plans including possible options that would require engagement with the pension trustees, the Pensions Regulator and Pension Protection Fund (PPF);
  • the strategic risks to the business arising from the pension and employee benefits plans’ investment strategy; and
  • the anticipated impact of complying with the 2012 Employer duties.
