Sell-side advice in the industrial sector
Our Deloitte Corporate Finance team acted as exclusive financial advisor to the wholly owned Swiss subsidiary of a listed British specialist trade distributor of plumbing and heating products as well as building materials. The mandate encompassed the sale of a business which belonged to the Swiss subsidiary and was not deemed core any longer after a corporate strategy review.
The mandate included critical preparation of the relevant sales documents, introduction of the opportunity to the market, coordination of the due diligence and support in the negotiation of the sales and purchase agreement (“SPA”). Our advisory team was able to generate considerable interest for the asset despite difficult market conditions and a decline in revenues. By maintaining competitive tension among the various bidder parties and the introduction of an appropriate deal structure a valuation in excess of current multiples could be achieved with the acquirer.
The transaction was signed and closed successfully in March 2010.
Sell-side advice in the consumer goods sector
The Deloitte Corporate Finance Advisory team acted as the exclusive financial advisor to the founder and shareholder of a leading supplier of cleaning and hygiene, foodservice, retail, healthcare and safety consumable products to the Swiss market in the disposal of his business to a listed British company.
Our services included the organisation and coordination of the due diligence, assistance in the preparation and negotiation of the SPA including the development of purchase price adjustment mechanism, as well as tax advice.
The transaction was successfully closed in March 2010.
Buy-side advice in the consumer goods sector
The Deloitte Corporate Finance Advisory team advised a leading Swiss producer of savoury and aperitif biscuits on its acquisition of a Swiss bakery products manufacturer and a French pastry producer, both held by a European private equity partnership.
The acquisition further consolidates the acquirer’s position as Europe’s market leader in puff pastry products and allows it to realise considerable economies of scale over time by combining production and work force. Our team supported its client through the whole acquisition process and arranged the financing for the transaction with one of Switzerland’s leading banking groups.
The transaction was completed in June 2008.
Sell-side advice in the insurance sector
Our Corporate Finance Advisory team supported the shareholders of a major Swiss insurance broker on the sale of its shares to a listed global insurance company.
Our services encompassed the coordination of the deal from start to finish including the initial review of shareholder objectives, preparation of relevant sales documentation, identification and approach of potential, and the negotiation of the sales and purchase agreement.
The transaction was closed in October 2007.
