- Project management, coordinating all transaction work streams (financial, operational, commercial, legal , IT, HR,…)
- Assess the readiness of the business for separation (“carve out”) and divestment, including costs, risks and timeline
- Undertake an initial diagnostic to understand major areas where separation activities are required and respective options analysed
- Prepare a “blueprint” which provides a framework for the carve out plan, the rules for approaching the issues and how the programme will be managed
- Capturing pro-forma information and overlay all adjustments to obtain a successful Financial carve-out
- Assess and challenge the impact of one-off costs (both operational and capital expenditure) and ongoing cost base as a standalone business
- Operational carve-out with identification, planning and implementation of key steps to deliver a successful legal separation from day 1
- Other: ability to draw on other service lines: e.g. tax, pensions, IT, treasury and regulatory support
