In November 2006 the ASX Corporate Governance Council issued a Consultation Paper and Draft Exposure of proposed changes to its Principles and Recommendations on Corporate Governance. Following a review of the more than 100 submissions received it finalised changes to its corporate governance principles to come into effect for financial years beginning on or after January 2008.
The attached document is a collation of the discussions held by Board Audit Committee members over lunches hosted by Deloitte around Australia in July 2007 and facilitated by Craig Mitchell, Deloitte Risk Services partner and member of the ASX Corporate Governance Council.
Three questions served as the focus for the luncheon discussions:
- how are boards going to fulfil their Recommendation 7.2 obligation: what process would the board want management to have gone through and what communication would the board like to receive?
- what benefits will come of this for your company?
- how can your company make governance, risk and compliance (GRC) more efficient?
