Vendor due diligence

Vendor initiated due diligence is at the heart of maximising value, minimising disruption and avoiding late surprises during a sale process.

Involvement of our vendor due diligence teams at the initial stage of the sale process assists our clients in achieving a fully priced and clean exit.

We offer vendor assistance up to a year before a planned transaction to consider whether a business is ready for disposal, identifying key areas requiring separation and also areas of vulnerability which can impact value. We help come up with solutions to address these.

In addition, we provide support through the sale process, working closely with our clients’ other advisors (for example, in relation to the sale and purchase agreements) to protect value and manage risk. We recommend commercial and contractual remedies to challenges identified during the vendor due diligence process.
