What directors need to know

The Canadian response to the Sarbanes-Oxley Act (SOX) has been introduced in a piecemeal fashion over the past several years. It consists of various pronouncements issued by Canada’s 13 provincial securities regulators, and the requirements are still evolving. The most recent is the CSA notice issued in March 2006, which proposed some significant changes dealing with reporting on internal control over financial reporting. But savvy directors know that meeting the minimum requirements is not enough. To truly reap the rewards of their compliance investment, they must move beyond mere compliance to focus on competitiveness and creating shareholder value.
