In early 2006, the Canadian Securities Administrators expanded the CEO/CFO certification requirements for smaller issuers. In addition to the existing certification requirements, venture issuers are now required to certify the operating effectiveness of internal control over financial reporting — just like their larger exchange-listed counterparts. Certifying disclosure controls and internal control over financial reporting is no small task. But smaller companies can turn size to their advantage: they can use their unique attributes as leaner and simpler organizations to streamline the process of certification compliance. They can also leverage the lessons that larger public companies have learned in the early years of certification.
