IT Due Diligence

Identifying the cost and value of IT technology

We assist clients with the evaluation of technology systems and operations, identification of potential risks, and help to ensure IT is a successful enabler for a transaction. Our solution also includes the assessment of opportunities arising from IT applications, infrastructure, processes, and organization. The specific service types under the umbrella of IT due diligence may include various processes, such as cyber security checks and review of standup / carve-out / integration / separation requirements.

Why IT Due Diligence?

In mergers, acquisitions, and organizational shifts, accurately assessing the IT department's worth is often challenging. Enhancing the bargaining power and decision-making by investigating not just the apparent costs but also the IT department's true value generation, potential shortcomings, hidden or indirect expenses, as well as upcoming hurdles will lead to a more comprehensive understanding of the IT sector's impact on your business strategy.

Deloitte's pre-deal services include

  1.  Health Check
    • Based on Data Room screening we will perform a high-level review of an IT system, process, or project to define the as-is status of the IT environment and areas of improvement and optimization to ensure that the IT environment is healthy and functioning efficiently.
  2.  Red Flag
    • A targeted review focused on identifying potential issues, risks, or areas of concern within a specific aspect of an IT environment, focused on key IT issues, which is performed based on documents from the Data Room.
  3.  IT due diligence
    • IT due diligence is the final step of the pre-deal service. A comprehensive review of an IT environment involves a detailed analysis of the IT systems, processes, and infrastructure to identify potential risks, opportunities, and areas for improvement. The goal of IT due diligence is to ensure that the IT environment is aligned with the business objectives and can support the future growth and success of the organization.

Deloitte defines the scope of a project as a tailored process, influenced by several critical factors. It's not standardized but rather determined on a case-by-case basis. Key considerations include the available time, the client's specific requests, the size and geographical reach of the business, the number and type of applications in use, data center capabilities, employee headcount, hardware and software requirements, IT vendor capabilities, supplier contracts, and the potential for outsourcing. These factors collectively shape the project's boundaries and guide its implementation.
